1. Acceptance of Terms

By registering for, accessing, or using the e-Poultry platform (including the mobile app, web portal, APIs, and associated services), you agree to be bound by these Terms and Conditions. If you do not accept these terms in full, you must discontinue use of the platform immediately.

2. User Eligibility

To use e-Poultry, you must:

• Be at least 18 years of age or the legal age of majority in your jurisdiction.
• Have the legal capacity to enter into a binding agreement.
• If registering on behalf of a farm, cooperative, or business entity, be authorized to act on that entity's behalf.
• Provide accurate, truthful, and complete registration information.

3. Account Responsibilities

As a registered user, you are responsible for:

• Maintaining the confidentiality of your login credentials (phone number, PIN, password).
• All activities conducted under your account.
• Notifying us immediately of any unauthorized access or security breach.
• Keeping your profile and farm information accurate and up to date.
• e-Poultry is not liable for losses arising from unauthorized use of your account due to your failure to secure credentials.

4. Platform Services

e-Poultry provides digital tools for poultry farm management, including but not limited to:

• Digital farm record-keeping (batches, feed, mortality, egg collection, vaccinations).
• Farm analytics dashboards and AI-powered insights.
• Access to verified extension officers (agricultural and veterinary).
• Farm financing: credit assessment, loan applications, and repayment management.
• Buy & sell marketplace connecting farmers with off-takers and suppliers.
• IoT-enabled environmental monitoring (where hardware is deployed).
• Community features, educational resources, and market intelligence.

5. AI Credit Scoring & Digital Lending

Our financing services operate under specific conditions:

• Credit scores are generated using proprietary AI models analyzing farm performance data, repayment history, activity consistency, and extension officer assessments.
• Loan approval is at the sole discretion of e-Poultry and its lending partners. Meeting eligibility criteria does not guarantee approval.
• Loan repayments may be automated via M-Pesa check-off or direct debit, as agreed at disbursement.
• Late payments will negatively affect your credit score and may restrict access to future financing.
• Interest rates, fees, and repayment schedules are disclosed in full before you accept any loan offer.
• All lending activities comply with the Central Bank of Kenya's digital lending regulations.

6. Subscription & Pricing

Our pricing model operates as follows:

• Starter Plan: Free forever for farms with up to 500 birds. No credit card required.
• Growth Plan: KES 999/month with a 14-day free trial. Includes marketplace, financing, and 2 extension officer visits per month.
• Enterprise Plan: Custom pricing for large operations, cooperatives, and organizations. Contact sales.
• Prices are subject to change with at least 30 days' written notice to active subscribers.
• Payments are processed via M-Pesa, Airtel Money, or bank transfer. Refunds are not provided for partial months.

7. Marketplace Terms

When using the e-Poultry marketplace:

• e-Poultry provides the platform to connect buyers and sellers but is not a party to transactions.
• All product quality, delivery, and fulfilment obligations rest with the respective seller.
• Disputes between transacting parties should first be addressed between the parties directly, with e-Poultry available to mediate where appropriate.
• e-Poultry reserves the right to remove listings or suspend users engaged in fraudulent or misleading marketplace activity.
• Transaction fees (where applicable) are disclosed at the point of sale.

8. Insurance Services

Insurance services on the platform are subject to the following:

• Insurance coverage is provided by licensed third-party insurers. e-Poultry facilitates access but does not underwrite policies.
• All claims are processed by and subject to the insurer's terms and conditions.
• Farm data shared with insurers for underwriting or claims is done with your explicit consent.
• e-Poultry is not liable for claim denials or disputes with insurance providers.

9. Intellectual Property

All platform content, features, algorithms, branding, and technology are the property of e-Poultry Ltd:

• You may not copy, modify, distribute, or reverse-engineer any part of the platform.
• Farm data you input remains your property. You grant e-Poultry a license to use it for service provision and anonymized analytics.
• User-generated content (reviews, marketplace listings) grants e-Poultry a non-exclusive license to display and distribute within the platform.

10. Prohibited Conduct

The following activities are strictly prohibited:

• Providing false information during registration or loan applications.
• Attempting to manipulate credit scores or farm data for fraudulent purposes.
• Using the platform to facilitate illegal activities.
• Harassment, threats, or abusive behavior toward other users, extension officers, or staff.
• Unauthorized access, scraping, or automated extraction of platform data.
• Reselling or sublicensing access to e-Poultry without written authorization.

11. Service Availability & Disclaimers

We strive for 99.9% uptime but cannot guarantee uninterrupted service:

• Scheduled maintenance windows will be communicated at least 24 hours in advance.
• We are not liable for losses due to network outages, third-party service failures, or force majeure events.
• AI-generated insights and recommendations are advisory: final farming decisions remain yours.
• Market prices displayed are indicative and may not reflect real-time trading prices.

12. Account Termination

Accounts may be suspended or terminated under the following conditions:

• Violation of these Terms and Conditions.
• Suspected fraud, data manipulation, or abuse of services.
• Non-payment of outstanding loans beyond the agreed grace period.
• At your request: you may close your account at any time via settings or by contacting support.
• Upon termination, outstanding financial obligations remain enforceable.

13. Limitation of Liability

To the maximum extent permitted by Kenyan law:

• e-Poultry shall not be liable for any indirect, incidental, consequential, or punitive damages arising from use of our services.
• Our total liability for direct damages shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.
• This does not limit liability for death or personal injury caused by negligence, or fraud.

14. Dispute Resolution

In the event of a dispute:

• Parties shall first attempt resolution through good-faith negotiation within 30 days.
• Unresolved disputes shall be submitted to mediation under the Nairobi Centre for International Arbitration.
• If mediation fails, disputes shall be resolved through binding arbitration in accordance with Kenyan law.
• Nothing in this clause prevents either party from seeking injunctive relief in Kenyan courts.

15. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of Kenya. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Kenya.

16. Changes to Terms

We may update these Terms periodically. Material changes will be communicated via SMS, push notification, or in-app notice at least 14 days before taking effect. Continued use after changes constitutes acceptance of the revised terms.
